By purchasing, downloading, or using UTagger ("the Software"), you agree to be bound by these Terms & Conditions. If you do not agree, do not use the Software. The Software is developed and sold by a sole trader registered in Spain.
UTagger is a desktop application that uses AI vision to automatically analyse and tag image and video files stored on your computer or local network drives. The Software runs entirely on your machine. Your media files are never uploaded to our servers — they are sent directly from your device to the xAI API (Grok) for analysis.
The Software requires you to provide your own xAI API key ("Bring Your Own Key" / BYOK model). API usage costs are billed directly to you by xAI and are not included in the licence price.
UTagger is sold as a one-time perpetual licence. Each purchase entitles one named user to install and use the Software on up to two personal devices simultaneously. The licence is non-transferable and non-sublicensable.
Licence activation requires an internet connection on first use. Subsequent use supports a 7-day offline grace period. Licence keys are validated against our licence server.
We offer a full refund within 14 days of purchase if the Software fails to function as described on a supported operating system (macOS 12+, Windows 10+) and the issue cannot be resolved by our support team. Refund requests must be submitted to adam@translatea.com with your order details and a description of the issue.
We do not offer refunds for change of mind, incompatibility with unsupported systems, or dissatisfaction with AI tagging results (which are probabilistic by nature). Chargebacks filed without first contacting us will result in immediate licence revocation.
You agree to use the Software only for lawful purposes. You must not:
The Software sends your media files directly from your machine to the xAI API (Grok) for AI analysis. This transmission is between your device and xAI — it does not pass through our servers. By using the Software you agree to xAI's Terms of Service and Privacy Policy, available at x.ai/terms. You are solely responsible for ensuring your use of the xAI API complies with xAI's terms.
The Software, its code, design, and branding are the intellectual property of the operator and are protected by copyright law. The tag results generated from your files belong to you. We claim no rights over your media files or the tag data produced from them.
The Software is provided "as is" without warranties of any kind, express or implied. AI tagging results are probabilistic and may contain errors or omissions. We do not warrant that the Software will be uninterrupted, error-free, or that tagging results will meet your specific requirements.
To the maximum extent permitted by law, the operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Software or its tagging results. Our total liability for any claim shall not exceed the amount you paid for your licence.
Licence holders receive free software updates for a minimum of 12 months from the date of purchase. Support is provided by email at adam@translatea.com on a best-efforts basis.
These Terms are governed by the laws of Spain. Any disputes shall be subject to the exclusive jurisdiction of the courts of Spain.
We may update these Terms at any time. Continued use of the Software after changes constitutes acceptance of the revised Terms. Material changes will be communicated by email to registered licence holders.
